6. Payment Terms

6.2 Payment Schedule

Unless agreed in writing, payment terms are as follows:

• A 50% deposit is required before work begins.
• The remaining balance is payable upon milestone completion or monthly as per agreement.
• Payment is due within 14 days of the invoice date.

6.3 Late Payments

• Late payments will incur interest at 8% per annum above the Bank of England base rate.
• We reserve the right to suspend Services if payment is not received.

6.4 Taxes

• All fees are exclusive of applicable taxes, which will be added to your invoice if required by law.

7. Term & Termination

• With 30 days’ written notice.
• Immediately if you breach these Terms.
• Immediately if payment is overdue by more than 30 days.

7.4 Effect of Termination

Upon termination:

• All outstanding payments become immediately due.
• We will provide all completed deliverables.
• You retain ownership of any content you provided.
• We retain ownership of our proprietary tools and methodologies.

8. Intellectual Property

• You grant us a limited licence to use this content solely for the provision of Services.

8.2 Our Intellectual Property

We retain all rights to our:

• Methodologies, techniques, and proprietary tools.
• Templates and marketing strategies.

You receive a non-exclusive, non-transferable licence to use the deliverables upon full payment.
